Terms of Service

1. Service Description

CollabraMatch LLC ("CollabraMatch") is a California limited liability company that operates a software-as-a-service platform connecting supervising physicians with nurse practitioners (NPs) and physician assistants (PAs, also called physician associates) for collaborative practice in California. Our services include:

Professional matching based on specialty, location, and practice preferences.
Template generation for California-compliant Collaborative Practice Agreements (CPAs).
Fair Market Value (FMV) tools for compensation documentation.
Payment processing for practitioner subscriptions and physician payouts.
Compliance documentation and monthly attestation management.
Identity verification and credential verification via the California DCA.

2. Important Disclaimers

CollabraMatch is a neutral technology intermediary. We are:

Not a law firm. CPA templates are starting points, not legal advice. Independent legal review is strongly recommended.
Not a healthcare provider. We do not provide clinical services, medical supervision, or clinical direction.
Not a staffing or employment agency. We do not place, hire, employ, or set wages for users.
Not a credentialing body. Our "Verified" designation confirms identity verification only, not clinical credentialing.

3. Pricing & Payment

NP/PA Platform Fee: $100 per month (USD) per active collaboration, billed monthly via Stripe.
Physician Collaborative Fee: the monthly fee negotiated in your Collaborative Practice Agreement is billed in arrears, on a separate invoice, after the service month has ended and after the supervising physician has certified that month. It is passed through to the supervising physician in full — CollabraMatch does not take a percentage of physician compensation. If a physician does not certify a service month, that month's collaborative fee is not charged. A month in which the collaboration starts or ends is prorated by calendar day.
Loyalty Rates: the platform fee drops to $90 per month after 3 or more consecutive months of subscription, and $75 per month after 7 or more consecutive months. Discounts apply to the platform fee only.
Supervising Physicians: No platform subscription fee. Physicians receive their collaborative fee via ACH payout.
Prices are subject to change with 30 days' advance notice.

4. Refund & Cancellation Policy

Platform fees are non-refundable.
FMV fees (fees between collaborating clinicians) are governed by the terms of each individual CPA.
You may cancel your subscription at any time through your account dashboard.
Cancellations take effect at the end of the current billing period.
CollabraMatch does not arbitrate clinical service disputes between users.

5. User Obligations

You must hold an active, unrestricted professional license in California.
You must not be excluded or debarred from Medicare or Medicaid.
You must maintain professional liability insurance.
You must comply with the California Medical Practice Act, Nurse Practice Act, and Physician Assistant Practice Act.
You must comply with Anti-Kickback Statute (AKS) and fee-splitting prohibitions.
Protected Health Information (PHI) is strictly prohibited on the platform unless a Business Associate Agreement is in place.
You are an independent contractor, not an employee of CollabraMatch.

6. Limitation of Liability

To the maximum extent permitted by law, CollabraMatch's aggregate liability is limited to the greater of $100 or the Platform Fees you paid to CollabraMatch in the 6 months preceding the claim. CollabraMatch is not liable for indirect, incidental, special, consequential, or punitive damages.

7. Account Termination

You may terminate your account at any time via your dashboard.
CollabraMatch may suspend or terminate accounts for material breach, license revocation, non-payment, or conduct posing legal risk.
You have 30 days after termination to export your data.
Terminating your account does not terminate active CPAs with other users.

8. Governing Law

These Terms are governed by the laws of the State of California. Any disputes will be resolved in the state or federal courts located in Alameda County, California.
